1. Who we are

Rizzrv (“Rizzrv”, “we”, “us”) operates Rizzrv Fitness, an online platform for gyms, boxes, studios and similar fitness businesses (the “Service”). The Service consists of this website (fitness.rizzrv.com), including the club marketplace and each club’s public page and member area, the club back office at app.rizzrv.com, and the emails the platform sends on a club’s behalf. 2. The agreement

These Terms & Conditions (the “Terms”) are a contract between Rizzrv and the club that holds a Rizzrv Fitness account (“you”, the “Customer”). By using the Service you accept these Terms and our Privacy Policy. The Service is offered to businesses, not consumers; the person accepting these Terms confirms they are at least 18 years old and authorised to bind the club they represent.

Booking a demonstration through our contact page creates no obligation to subscribe. We use the details you give us only to arrange and hold that demonstration, as described in the Privacy Policy.

3. The Service

The Service includes:

• a class timetable: recurring weekly classes, rooms, capacities and instructors, with one-off changes and cancellations;
• a public club page with your branding, classes, instructors and membership plans;
• an optional listing on the club marketplace at fitness.rizzrv.com;
• member management: the club creates members, assigns membership plans and invites them by email to set their own password;
• a member area where members can see the timetable and their bookings;
• help migrating your existing member, class and timetable data.

Features shown as “coming soon” on our website are not part of the Service until we release them. We continuously improve the Service and may add, change or remove features. If a change materially reduces the core functionality you pay for, we will notify you in advance and you may cancel before it takes effect.

4. Your account

You must provide accurate information about your club and keep it up to date. You are responsible for keeping your credentials confidential and for all activity under your account, including activity by the staff you give access to. Tell us immediately at fitness@rizzrv.com if you suspect unauthorised access.

5. Fees and payment

• Rizzrv Fitness costs €29.99 per month per club, with unlimited members, as shown on our pricing section. There are no setup fees and no per-member or per-booking charges.
• Subscriptions run month to month, with no minimum term and no fixed contract. You may start with only part of your club — some classes or some members — at the same price.
• Subscriptions are billed monthly in advance. Payments are processed by Stripe Payments Europe, Ltd.; your card details are transmitted directly to Stripe and never stored on our servers.
• Prices exclude VAT and other applicable taxes, which are added where required.
• If a payment fails we will notify you and retry. If payment remains outstanding after reasonable notice, we may suspend the Service until the balance is settled.
• We may change the price with at least 30 days’ notice by email. Changes take effect at the start of your next billing period; if you do not agree, you may cancel before then.

5a. 14-day money-back guarantee

If you cancel within 14 days of your club’s first subscription payment, we refund that first payment in full to the original payment method, normally within 10 business days. To use the guarantee, email fitness@rizzrv.com or cancel from the back office within that period. On a refunded cancellation, access to the Service ends when the refund is issued. The guarantee applies once per club and only to the first payment.

6. Your relationship with your members

Memberships, classes and fees are a relationship between your club and its members, not between Rizzrv and your members. Rizzrv does not collect membership fees: your club keeps charging and invoicing its members as it does today. You are responsible for the accuracy of the classes, plans, prices and information you publish, for honouring bookings, and for your own membership, cancellation and no-show rules. Rizzrv is not a party to, and accepts no liability for, the services your club provides.

7. Data protection

For the personal data of your members and staff that you enter into or collect through the Service, your club is the data controller and Rizzrv is your data processor, acting only on your documented instructions. Our data processing terms, available on request at fitness@rizzrv.com, apply automatically and form part of these Terms. You confirm you have a lawful basis to enter your members’ data and that you inform them accordingly. How we handle personal data more generally is described in our Privacy Policy. All application data is stored on servers in Germany.

8. Acceptable use

You agree not to:

• use the Service for anything unlawful, fraudulent or misleading;
• publish a club page for a business or classes that do not exist as described;
• add people as members without their knowledge, or use member emails for unsolicited messages;
• probe, disrupt or overload the Service, attempt to access other customers’ data, or circumvent security measures;
• resell or white-label the Service without our prior written consent.

We may suspend or terminate accounts that violate this section, with notice where practicable.

9. Availability and support

We run the Service with care and aim for it to be available around the clock, but we do not guarantee uninterrupted availability. Planned maintenance is scheduled outside peak hours where possible. Support is provided by email at fitness@rizzrv.com and by phone or WhatsApp on +351 912 347 287.

10. Intellectual property

The Service, including its software, design and branding, belongs to Rizzrv. Your club’s content — its name, logo, photos, class descriptions and member data — remains yours. You grant us the licence needed to host, display and process that content solely to provide the Service to you.

11. Term and termination

• You may cancel at any time by emailing us or from the back office; there is no notice period and no exit fee. Cancellation takes effect at the end of the current billing period. Apart from the 14-day money-back guarantee, already-paid fees for that period are not refunded unless the law requires it.
• We may terminate the agreement with 30 days’ notice, or with immediate effect if you materially breach these Terms and do not cure the breach within 14 days of being notified (or the breach cannot be cured).
• On termination your club page and member area go offline and back-office access ends. We delete personal data within 90 days of account closure as described in the Privacy Policy; ask us before closing the account if you need an export of your members.

12. Warranties and liability

The Service is provided “as is” to the extent permitted by law for business-to-business contracts. To the same extent, our total liability under this agreement is limited to the fees you paid us in the 12 months before the event giving rise to the claim, and neither party is liable for indirect or consequential damages such as lost profits or lost memberships. Nothing in these Terms limits liability that cannot lawfully be limited, including liability for intent, gross negligence, or death or personal injury.

13. Changes to these Terms

We may update these Terms as the Service evolves. For material changes we will give you at least 30 days’ notice by email or in the back office. If you continue using the Service after a change takes effect, the updated Terms apply; if you do not agree, you may cancel before the effective date.

14. General

You may not assign this agreement without our consent; we may assign it to a successor of the business operating the Service. If any provision is found invalid, the rest remains in force. These Terms are governed by Portuguese law, excluding its conflict-of-law rules; mandatory protections under the law of your own country are unaffected. Disputes that cannot be resolved amicably are subject to the courts at our seat in Portugal.
